Abstract
Spajanja i preuzimanja poduzeća, danas predstavljaju glavne trendove u suvremenom poslovnom sustavu. Preuzimanje predstavlja stanje u kojem jedno poduzeće preuzima kontrolu nad drugim poduzećem, također predstavlja i jedno od načina promjene vlasništva nad poduzećem. Procesi spajanja i preuzimanja prisutni su u svim granama i sektorima gospodarstva, pa tako i u turizmu. Globalizacija danas ima značajan utjecaj na međunarodni tijek kapitala i financiranje u privatne i javne projekte u turizmu. Turizam također predstavlja otvorenu investicijsku mogućnost profitabilnih ulaganja kapitala i za nove „igrače“ na tržištu. Diplomski rad „Preuzimanje hotelskog poduzeća u Republici Hrvatskoj“ prikazuje sami proces i tijek preuzimanja poduzeća kroz teorijski dio i kroz primjer. Kao primjer prikazano je preuzimanje Maistre d.d. od strane Adris Grupe, od same organizacije njihovog poslovanja, tijeka preuzimanja te na kraju izvješća o preuzimanju.
Abstract (english)
Mergers and acqusitions are nowadayas more or less the norm in modern corporate systems. An acqusition is when one company takes over control over the other and is one of the ways of ownership transfer to another party. Merger and acquisition processes can be found in all branches and sectors of business, tourism included. Globalization has a significant impact on the international flow of capital and financing of private and public projects in tourism. Moreover, tourism for new players in the marketplace represents an open investment opportunitiy for profitable capital allocation, too. The thesis “Takeover of a hotel company in the Republic of Croatia” explains the takeover process themselves in both theory and practice, through real-world examples. As an example, the thesis details the takeover process of Maistra d.d. by Adris Grupa, from the organization of their business to takeover steps to final takeover reports.
