Abstract
Preuzimanja poduzeća predstavljaju glavne trendove u suvremenom poslovnom svijetu te ih poduzeća sve više koriste kao dio strategije rasta. Integracijski procesi danas su prisutni u skoro svim industrijama, pa tako i u turizmu. Svaka poslovna odluka treba imati svoj temelj u financijskim izvještajima. U ovom radu analizira se preuzimanje poduzeća Maistra od strane poduzeća Adris grupa i to od same organizacije poslovanja oba poduzeća, analize poslovanja prije preuzimanja, analize tijeka preuzimanja te na kraju analize poslovanja u godinama nakon preuzimanja poduzeća Maistra. Uspješnost transakcije mjeri se financijskim pokazateljima poduzeća prije i nakon preuzimanja te iz tog razloga, poduzeće preuzimatelj mora imati jasnu financijsku sliku o poduzeću koje preuzima prije transakcije poslovanja. Ova analiza provedena je na temelju javno dostupnih podataka iz temeljnih financijskih izvještaja, a kako bi se dobila potpuna slika stanja poduzeća Maistra potrebno je provesti širu analizu.
Abstract (english)
Company acquisitions represent the main trends in the modern business world that companies increasingly use as part of the growth strategy. Integration processes are present today in almost all industries, including tourism. Each business decision should have its basis in the financial report. This paper analyzes the acquisition of Maistra company by the Adris grupa company from the business organization of both companies, business analysis before the acquisition, analysis of the acquisition process and at the end the business analysis in years after the acquisition of Maistra company. The success of a transaction is measured by the financial indicators of a company before and after the acquisition, and for this reason, the acquirer must have a clear financial picture of the target company before the business transaction. This analysis was carried out on the basis of publicly available data from the core financial reports and to obtain a complete picture of the state of Maistra company it is necessary to carry out a wider analysis.
