Abstract
The goal of this paper is to analyze the provisions and amendments and to comment on the provisions in order to improve legal and political climate in Croatia. The paper comments on the provisions that were amended by the Amendment to the Companies Act in 2019. The reason for its adoption is the introduction of the decision from Directive (EU) 2017/828 of the European Parliament and of the Council of 17 May 2017 regarding the encouragement of long-term participation of shareholders in the Croatian legal order. The provisions on contributions for acquired business shares, on the disposal of business shares, on a simple limited liability company have been amended, and the Act is supplemented with two completely new sections entitled: "Establishment of a distance company without a proxy" and "Termination of a company by summary procedure". The legal and political goal of making the Croatian economy more competitive and more attractive to investors has been achieved by facilitating both the establishment and dissolution of companies.

Cilj ovog rada je analizirati odredbe i izmjene te komentirati odredbe radi poboljšanja pravne i političke klime u Hrvatskoj. U radu se komentiraju odredbe koje su izmijenjene i dopunjene Zakonom o trgovačkim društvima 2019. Razlog donošenja je uvođenje odluke iz Direktive (EU) 2017/828 Europskog parlamenta i Vijeća od 17. svibnja 2017. u vezi poticanja dugoročnog sudjelovanja dioničara u hrvatskom pravnom poretku. Izmijenjene su odredbe o doprinosima za stečene poslovne udjele, o raspolaganju poslovnim udjelima, o jednostavnom društvu s ograničenom odgovornošću, a Zakon je dopunjen s dva potpuno nova odjeljka pod naslovom: "Osnivanje društva na daljinu bez punomoćnika" i " Prestanak društva po skraćenom postupku ”. Pravni i politički cilj hrvatskog gospodarstva učiniti konkurentnijim i privlačnijim ulagačima postignut je olakšavanjem osnivanja i raspuštanja trgovačkih društava.
