Abstract
Tema diplomskog rada je analiza uspješnosti stjecanja poduzeća u prehrambenoj industriji na konkretnom primjeru iz hrvatske gospodarske prakse. Poslovne kombinacije, konkretno aktivnosti spajanja i stjecanja često su neizbježne za postizanje konkurentske prednosti i rasta poduzeća. Zbog svoje kompleksnosti te aktivnosti nerijetko završavaju neuspjehom, stoga je vrlo ključna sama priprema, promišljena slika o tijeku procesa i definiranim očekivanjima i jasno postavljenim ciljevima. Na temelju prikupljenih informacija i podataka, rad pobliže prikazuje vrste, povijest, motive i faze, te metode procjene uspješnosti poslovnih kombinacija. Analizira se uspješnost stjecanja poduzeća Droga Kolinska d.d. od strane Atlantic Grupe d.d. Kroz rad se opisuje proces stjecanja, prikaz poslovanja sudjelujućih poduzeća prije i nakon provedene aktivnosti stjecanja temeljena na ključnim financijskim pokazateljima, horizontalnoj i vertikalnoj analizi financijskih izvještaja te, zaključno, metodom kretanja cijena dionica i prinosa za dioničare.
Abstract (english)
The topic thesis is the analysis of the acquisition of companies in the food industry on a example from Croatian economic practice. Business combinations, specifically mergers and acquisitions are often unavoidable to achieve competitive advantage and company growth. Due to their complexity, these activities often end in failure, so the preparation itself, a clear picture of the process and defined expectations with clearly set goals are very crucial. Based on the collected information and data, the paper presents in more detail the types, history, motives and phases, methods of assessing the success of business integrations. This paper analyzes the success of the acquisition Droga Kolinska d.d. by Atlantic Grupa d.d. The paper presents the acquisition process, business overview of participating companies before and after the acquisition based on key financial indicators, horizontal and vertical analysis of financial statements and finally the method based on stock price movements and shareholder returns.
