Abstract
Povećanje temeljnog kapitala dioničkog društva putem uloga otvara pitanje prava prvenstva, Ovaj proces obično uključuje izdavanje novih dionica, što može izazvati sukob između interesa starih dioničara i ciljeva samog dioničkog društva. Dioničko društvo treba osigurati financijske resurse za rast i razvoj, ali istovremeno štititi interese svojih dioničara. Unatoč važnosti prava prvenstva, ono nije apsolutno i može biti ograničeno ili isključeno u određenim situacijama. Odluke o isključenju prava prvenstva moraju biti opravdane i ne smiju diskriminirati dioničare. Direktiva 2017/1132 EU postavlja određena pravila koja utječu na regulaciju prava prvenstva u europskim pravnim sustavima, uključujući i hrvatsko pravo.
Abstract (english)
The increase of a company's share capital through contributions raises questions about the right of preemption. This process typically involves issuing new shares, which can create a conflict of interest between existing shareholders and the company's objectives. The company needs to secure financial resources for growth and development while safeguarding the interests of its shareholders. Despite the significance of the right of preemption, it is not absolute and can be restricted or excluded in certain situations. Decisions to exclude the right of preemption must be justified and should not descriminate against shareholders. Directive 2017/1132 EU establishes specific rules that impact the regulation of the right of preemption in European legal systems, including Croatian law.
