The paper discusses squeeze out of minority shareholders, which allows majority shareholders to exclude minority shareholders from the company against their will. The main shareholder has the right if he holds shares that account for at least 95% of the share capital. The aim of this institute, introduced into Croatian law in 2003, is to protect the entrepreneurial interests of the main shareholder, but it raises the question of protection of minority shareholders and their constitutional rights. The paper presents the procedure for the transfer of shares, as well as the method of determining the appropriate severance pay, the purpose of which is to protect the rights of minority shareholders. Other mechanisms for the protection of the rights of minority shareholders, as well as the question of proportionality of the institute are also discussed. Furthermore, the organization of institutes according to the Act on the Takeover of Joint Stock Companies is analyzed in comparison with the Companies Act. An overview of the transfer of shares in current Croatian practice was also presented. Also, considering that the regulation of the transfer of shares of minority shareholders is largely identical to the German one, the German system is also analyzed. Finally, due to the similarity of the legal systems, but also the mutual influence, the regulation in Bosnia and Herzegovina is also discussed.
