Abstract
U radu se predstavlja pravni okvir pripajanja i spajanja kao statusnih promjena društava s ograničenom odgovornošću. Izlaže se općenito o statusnim promjenama trgovačkih društava, njihovim pravnim posljedicama i gospodarskim razlozima. Kroz pregled potrebnih koraka za uspješno provođenje tih statusnih promjena se prikazuje detaljna analiza postupka pripajanja i spajanja društava s ograničenom odgovornošću s drugim takvim društvom.
Abstract (english)
The paper presents the legal framework for mergers and acquisitions as structural changes of limited liability companies. It provides a general overview of the structural changes of commercial companies, their legal consequences, and economic reasons. Through a review of the necessary steps for the successful implementation of these structural changes, a detailed analysis of the merger and acquisition process of limited liability companies with other such companies is presented.
