Joint-stock company merger is a status change regulated by Croatian Companies Act. This paper researches the legal process of joint-stock company merger and explains the most important acts and occurrences during that process. One of the necessary acts for the beginning of every merger is a merger agreement and that is why it is also important to describe it more delicately by analysing both the legislation regarding it, and the contents of a real, practical agreement between two companies in the Republic of Croatia. After signing the agreement, company bodies must check it over and assemble certain reports about it, the content of which is also analyzed in this paper, as well as the audit that has to be done before the merger. The transition of property and exchange of shares are integral parts of this process and their correct determination in the agreement is of utmost importance. The goal of this paper is to clarify the institute of merger to the reader by going through the legal regulations in the Republic of Croatia, but also to do so by looking at one real-life merger, as well as some of the special cases that can show up in legal practice, e.g. the merger of companies while the merged company is going through bankruptcy. The largest and the most important part of the paper is the explanation of every single legal regulation regarding the merger of joint-stock companies.
