Abstract
Due diligence postupak kao oblik interdisciplinarnog ispitivanja trgovačkog društva prilikom prodaje njegovih udjela jest zasigurno praksa koja je još uvijek nedovoljno razvijena u Republici Hrvatskoj. Due diligence postupak često se definira kao dugotrajan i nepotreban te vremenski zahtjevan proces trošenja financijskih sredstava. Cilj ovog rada jest analiza osnovnih pitanja vezanih za postupak ispitivanja te ocjene podataka i dokumentacije trgovačkih društava čiji se udjeli prodaju velikom broju ulagatelja ili strateškim ulagateljima. Takav postupak, poznat pod engleskim nazivom due diligence koji se u doslovnom smislu prevodi kao „dubinsko ispitivanje“, označava ispitivanje svih relevantnih aspekata prošlog, sadašnjeg i budućeg poslovanja, a sve s ciljem procjene koristi i nedostataka usmjerenih na namjeravanu kupnju udjela. S obzirom na činjenicu da svjedočimo intenzivnom provođenju korporativnih akcija u Republici Hrvatskoj koje se očituju u preuzimanjima, spajanjima i pripajanjima trgovačkih društava, upravo se sagledavanje stanja društva sa različitih stajališta ima smatrati ključnim za donošenje odgovorne strateške odluke.
Abstract (english)
Due diligence procedure like a form of interdisciplinary examination of a company when selling their share is certainly a practice which is still insufficiently developed in the Republic of Croatia. It can often be defined as lenghty and needless, as well as a time consuming process of spending financial resources. The purpose of this work is to analyze basic issues related to the test procedure and data evaluation as well as documents of companies whose shares are sold to a large number of investors or strategic investors. Considering the procedure due diligence can be literaly translated to Croatian as “in-depth examination”, it indicates analysis of all relevant elements of past, present and future business, with the sole purpose of benefit assessment and disadvantages focused on intended share purchase. Due to the fact that we can witness an intensive expansion of corporate actions in Croatia which are manifested in a variety of takeovers and mergings, it is precisely the overview of the state of society from different perspectives that is considered to be the key to making a responsible strategic decision.
