Abstract
U odnosima kupaca i dobavljača u lancu opskrbe hranom nerijetko dolazi do pojave nepoštenih trgovačkih praksi zbog postojanja znatne pregovaračke neravnoteže unutar ugovornog odnosa. Pregovaračko snažniji subjekti teže nametanju određenih praksi slabijoj ugovornoj strani, pribavljajući time sebi određenu korist. Takve prakse mogu ostaviti negativne učinke na male i srednje poduzetnike, a osobito na poljoprivredne proizvođače. Raširenost pojave nepoštenih trgovačkih praksi u lancu opskrbe hranom dovela je do razvoja posebnih pravnih pravila u tome području među brojnim državama, kao i na razini EU koja je prije godinu dana predstavila Direktivu o nepoštenim trgovačkim praksama u odnosima među poduzećima u lancu opskrbe poljoprivrednim i prehrambenim proizvodima. Cilj je ovoga rada pobliže objasniti pojavu, uzroke i posljedice nepoštenih trgovačkih praksi među sudionicima lanca opskrbe hranom te pružiti analizu pravnih pristupa rješavanju navedenog problema.
Abstract (english)
In buyer-supplier relationships in the food supply chain, unfair trade practices often occur due to the existence of a significant bargaining imbalances within contractual relationship. Operators that have greater bargaining power tend to impose certain practices on the weaker contractual party, thus gaining a certain benefit for themselves. Such practices may have negative effects on small and medium-sized enterprises, and in particular on agricultural producers. The prevalence of unfair trade practices in the food supply chain has led to the development of specific legal rules in this area among many countries, as well as at EU level where the Directive on unfair trading practices in business-to-business relationships in the agricultural and food supply chain was introduced a year ago. The purpose of this paper is to explain in greater detail the occurrence, causes and consequences of unfair trade practices among the operators in the food supply chain and to provide an analysis of the legal approaches in addressing this problem.
