A limited liability company is a company founded by one or more legal or natural persons, all for the purpose of performing activities under a joint company based on joint capital. The Companies Act prescribes the minimum value of the share capital, as well as all other provisions regulating relations within companies. Limited liability companies consist of a general meeting, a management board and a supervisory board. The general meeting of the company consists of all members of the company, and it meets at least once a year. A member of the board is a natural person who is fully capable of doing business, and is appointed based on the decision of the members of the company. The supervisory board has the task of overseeing the business of the limited liability company, it generally consists of three members, and part of the board can be natural person who is also fully capable of doing business, and may or may not be a member of the company. Revocation is generally an act terminating the mandate of a member of the board. Revocation can happen based on a court decision, through a public law body or by a decision of company members. When recalling, it is necessary to comply with all legal provisions, and to know how to distinguish between so-called free revocation, i.e. revocation for which no important reason is required, and can be used at any time, from revocation for which important reasons are required. The competent court decides on the importance of a certain reason, and the judgments of the Constitutional and Commercial Court of the Republic of Croatia are cited as examples of the same in this paper.
