The aim of this study is to explain the legal regulation of futsal and football clubs. In the Republic of Croatia, the legal regulation of futsal and football clubs is based on the Law on Sports, the Law on Associations, and the Law on Commercial Companies. Football and futsal clubs can be organized as sports associations or sports joint-stock companies (s.d.d.). Sports associations for competition are non-profit organizations focused on promoting sports and gathering athletes, while sports joint-stock companies act as commercial companies with the aim of making a profit and professionalizing sports activities. Sports associations are governed by the principle of one member - one vote, which enables members to have equal rights in decision-making, while shareholders in sports joint-stock companies are based on capital contribution, which means that a larger share of capital increases influence in management. The Law on Sports and the Law on Companies prescribe rules to ensure transparency, prevent conflicts of interest, and protect the management rights of members and shareholders. The legal structure of the clubs allows for flexibility and adaptation to different goals and levels of professionalism, from amateur clubs that emphasize community to professional organizations focused on commercial success. This ensures a stable and sustainable development of football and futsal in Croatia.
