Abstract
Ovaj rad obrađuje društvo s ograničenom odgovornošću kao trgovačko društvo kapitala u koje članovi društva ulažu temeljne uloge s kojima sudjeluju u unaprijed dogovorenom temeljnom kapitalu. U radu su iznesena osovna obilježja društva s ograničenom odgovornošću te detaljan pregled organa društva. Zakonom o trgovačkim društvima propisano je da društvo s ograničenom odgovornošću obavezno mora imati skupštinu i upravu, dok nadzorni odbor nije obavezan organ. Cilj ovog rada je stjecanje osnovnih spoznaja o društvu s oganičenom odgovorošću te nastojanje da se pobliže objasne organi društva, odnosno njihove ovlasti te način rada.
Abstract (english)
The purpose of this paper is to describe a limited liability company as a capital company, where members invest basic roles and participate in predetermined share capital. In accordance with the Companies Act, a limited liability company must have a general meeting and management, but it is not required to have a supervisory board. The aim of this paper is to obtain a basic understanding of a limited liability company and provide a detailed explanation of the company's organs, authorities and mode of operations.
