Abstract
Tema ovog rada je pokušati što detaljnije prikazati na koji se način sklapaju trgovački ugovori. Naglasak je na trenutno važeći Zakon o obveznim odnosima (u daljnjem tekstu ZOO) i Konvenciju Ujedinjenih naroda i ugovorima o međunarodnoj prodaji robe (u daljnjem tekstu Bečka konvencija). Između ostalog, ovaj rad opisuje i tko smije sklapati same trgovačke ugovore, njihove vrste, izvore, razliku s građanskim i potrošačkim ugovorom koja je u našem ZOO detaljno obrađena. Razlike su očite već na prvi pogled kako kod određenih rokova, tako i kod ponašanja sudionika, njihovoj odgovornosti i u ostalim sastojcima ugovora koje će biti detaljnije opisane u ovom radu. Usporedbom propisa, koji su i kamen temeljac rada, obrazložene su sličnosti i razlike između istih čime se ističe struktura trgovačkih ugovora kako na domaćoj tako i međunarodnoj sceni.
Abstract (english)
The main topic of this paper is to try to show in as much detail as possible how trade agreements are concluded. The emphasis is on the current Law on Obligations (hereinafter ZOO) and the United Nations Convention and Treaties on the International Sale of Goods (hereinafter the Vienna Convention). Among other things, this paper describes who is allowed to enter into commercial contracts, their types, sources, the difference with the civil contract, which is discussed in detail in the ZOO. The differences are obvious at first glance, both in certain deadlines and in the behavior of the participants, their responsibilities and in other components of the contract, which will be described in more detail in this paper. The comparison of regulations, which are also the cornerstone of the work, explains the similarities and differences between the two, which emphasizes the structure of trade agreements both on the domestic and international scale
