Abstract Međunarodni savez zadruga (ICA), koji predstavlja globalni savez zadruga, definira zadrugu kao autonomno suradništvo osoba koje se dobrovoljno udruđuju kako bi zadovoljile svoje zajedničke ekonomske, društvene i kulturne potrebe i težnje na temelju zajedničkog vlasništva i demokratski kontroliranog društva. Zadruge svoje poslovanje uređuju na sedam temeljnih zadružnih načela. Prva suvremena zadruga osnovana je 1884.godine pod nazivom Rochdale Equitable Pioneers Society. S obzirom na svoju vlasničku strukturu, zadruge imaju posebnu društvenu i ekonomsku ulogu te predstavljaju instrument socio-ekonomske reintegracije. Imaju ključnu ulogu u slučajevima vezanim za stabilizaciju ekonomije. Pokretanje zadruge povlači sa sobom brojne prednosti, kao što je mogućnost lakšeg pribavljanja kapitala poduzetnicima, pridonošenje kvaliteti i vrijednosti proizvoda te otvaranje mogućnosti malim poduzetnicima. Pojam upravljanja odnosi se na skup procesa, politika i struktura koje čine smjer kojim se organizacija kreće te način na koji se njome rukovodi i vrši kontrola. Kao i ostali oblici poduzeća i zadruge zahtijevaju određeni iznos kapitalnog ulaganja, vodstvo te stručnost menadžmenta. No za razliku od ostalih oblika, zadruge moraju efektivno odgovarati na zahtjeve članova, te uključiti sve članove u donošenje odluka koje izravno utječu na politiku i upravljanje poslovanjem. Demokratsko upravljanje i vlasništvo u rukama korisnika čini proces kooperativnog razvoja puno složenijim nego što je to slučaj s drugim poslovnim modelima. Zadruge su jedinstven poduzetnički model koji se može osnovati u obliku modela radničke zadruge, zadružnog konzorcija ili modela zadruge u vlasništvu zaposlenika. Zadruge imaju zajedničke karakteristike s ostalim oblicima poduzeća u pogledu sadržaja, funkcije i poslovne prakse te odabira Upravnog odbora i menadžerskog tima. Različitosti zadruga i korporativnog upravljanja očituju se u principima, ciljevima i organizacijskoj strukturi koje razdvajaju uloge upravljanja u zadruzi i ostalim oblicima.
Abstract (english) International Cooperative Alliance (ICA), which represents a global alliance of cooperatives, defines a cooperative as an autonomous collaborative individuals who voluntarily associate in order to meet their common economic, social and cultural needs and aspirations based on common ownership and democratic controlled organisation. Cooperatives regulate its operations on seven fundamental cooperative principles. Rochdale Equitable Pioneers Society is a first modern cooperative and was founded in 1884. Cooperatives have a special social and economic role as well as an instrument of socio-economic reintegration. They have a key role in the cases related to the stabilization of the economy. Starting cooperative entails a number of advantages, such as the ability to facilitate raising capital to entrepreneurs, contributing to the quality and value of products and the opening of opportunities for small entrepreneurs. The term management refers to the set of processes, policies and structures that make up the direction in which the organization is moving and the way in which it is managed and controlled. Like other forms of enterprises, cooperatives require a certain amount of capital investment, leadership and management expertise. But unlike other forms, cooperatives must effectively respond to the demands of the members, and involve all members in decisions that directly impact on policy and business management. Democratic governance and worker ownership makes the process of cooperative development much more complex than is the case with other business models. Cooperatives are unique entrepreneurial model that may be established in the form of worker cooperative model, consortium model or employee owned model. Cooperatives have common characteristics with other forms of enterprise in terms of content, features and business practices and the selection of the Board and management team. Differences between cooperative and corporate governance are reflected in the principles, objectives and organizational structure that separate the roles of management in a cooperative and other forms.
