Abstract
Dioničko društvo je jedno od društva kapitala u hrvatskom pravnom sustavu te kao takvo ima svoje određene organe društva. U ovom radu ćemo detaljnije objasniti razliku između dualističkog i monističkog pristupa osnivanja društva te obraditi društvo osnovano po dualističkom principu, što znači da se sastoji od glavne skupštine, nadzornog odbora i uprave. Glavna skupština je organ u kojemu djeluju dinočari društva. Navest ćemo njezine ovlasti i funkciju u društvu. Nadzornom odboru je zadaća kontroliranje rada uprave te ćemo navesti zakonske odredbe vezane uz njezine članove i njegovu funkciju u društvu. Uprava zastupa društvo i vodi poslove društva. Navest ćemo pojedinosti o članovima uprave te koje ona ima ovlasti u dioničkom društvu. Obzirom da sam trenutačno zaposlena u dioničkom društvu koje se naziva Iločki podrumi, sve gore navedene stavke ćemo potkrijepiti primjerima iz tog dioničkog društva koje trenutačno posluje.
Abstract (english)
A joint-stock company is one of the capital companies in the Croatian legal system. As such, it has its own specific organs of society. In this paper, we will discuss in more detail the company's bodies organized according to the dualistic principle, which means that it consist of the general assembly, the supervisory board and the administration. The General Assembly is the body in which the members of the society operate. We will list her powers and function in society. The task of the supervisory board is to control the work of the board, and we will list the legal provisions related to its members and their function in society. The board represents the company and manages the company's pols. We will provide details about the members of the board and the powers it has in the joint-stock company. Given that I am currently employed in a joint-stock company called Iločki podrumi, we will support all the above-mentioned items with examples from that joint-stock company that is currently operating.
