Abstract
Ideja o stvaranju europskog dioničkog društva započela je relativno rano, a realizirana je u potpunosti tek prije nekoliko godina te iz godine u godinu bilježi porast takvog oblika društva na području Europske unije. Europsko dioničko društvo nastalo je na temeljima zabrane ograničenja slobode poslovnog nastana državljanima jedne države članice na području druge države članice, a sve kako bi se olakšalo poslovanje i pojednostavilo stvaranje podružnica u drugim državama članicama Europske unije. Europsko dioničko društvo obavlja svoje poslovanje kao trgovačko društvo, a temelji se na pravnom uređenju i načelima Europske unije, kao nadnacionalnoj organizaciji država članica, no na svako europsko dioničko društvo primjenjuje se i zakonodavstvo njegove matične države.
Abstract (english)
The idea about creating Societas Europea started relatively early and it is realized only a few years ago completely, and year by year it has been noted that there is a growth of that sort of company in the European Union. Societas Europea is created on the basis of the freedom of establisment for citizens of one state member on the territory of another state member in European Union with the goal of facilitating business operations and simplifying the creation of subsidiaries in other state members of European Union. Societas Europea is doing it's business as a company that is based on legal determinants and principles of European Union, as supranational organization of state members, but on every Societas Europea, legislation of it's home country is applied.
