This paper deals with the Business Judgement Rule from its begginings in anglosaxon legal system to the Business Judgement Rule as we know it today. It was introduced into Croatian legal system back in 2007. and Republic of Croatia was on of the first six countries in Europe to adopt this legal institute. The Business Judgement Rule is of significant value for members of the Management Board and also for members of the Supervisory Board because of its exonerating nature. It releases Board members of liability if, in managing company's affairs, while making a business decision they can reasonably assume that they are acting in the best interest of the company, based on adequate information whilst also acting in good faith. Legal theory takes two different understandings regarding the application of the Business Judgement Rule, therefore we are either talking about the Standard of Liability or the Abstention Doctrine. This paper indicates, through a graphic display, changes in the interpretation of the Business Judgement Rule across historically important rulings. In addition, the paper also includes the preservation of Trade Secrets due to the close connection with the Business Judgement Rule through the legal standard of care of an orderly and conscientious businessman.
