The subject of this work is to investigate and fully explain what includes the institute of dissolution of the company under summary procedure without liquidation. It explains in detail all the conditions that need to be met in order to be able to start the process of dissolution of the company under summary procedure without liquidation. It also elaborates in detail the method of initiating the procedure of dissolution of the company under the abridged procedure without liquidation; from the adoption of the decision of the members of the management board on termination, preparation of financial statements, filing of the application, the course of the procedure itself, the actions of the members of the company and the obligation and restrictions imposed by the legislator. At the very beginning of the work, the process of liquidation is briefly described as a regular procedure of dissolution of the company with the aim to make it easier to present all advantages of a summary procedure of dissolution of the company without liquidation both for members and creditors and for other entities involved in the procedure. The overall problem of such an institute is described using various sources that regulate that procedure. The aim of this work is to present and explain the entire process and actions that need to be performed in order to successfully execute the process of termination and deletion of a business entity from the court register.
